The Omnibus reduced the number of non‑European companies under CSRD by 88% to approximately 1,200
EFRAG published new impact estimates of the Omnibus package on non‑EU companies:
- Original thresholds: turnover above €150 million + EU subsidiary/branch with turnover above €40 million.
- New thresholds: net turnover in the EU above €450 million for two consecutive years + EU subsidiary/branch with turnover above €200 million.
The scope still includes an estimated 350–450 American companies, 150–200 British, 100–150 Swiss and Japanese, and 30–80 from other jurisdictions.
EFRAG also resumed work on the N‑ESRS standard (reporting for non‑EU groups). The draft will go to consultation in mid‑July, the consultation will last 100 days, and the final technical recommendation is to be submitted to the Commission in January 2027.
Interesting detail: N‑ESRS will focus only on impacts, whereas the full ESRS for EU companies also requires risks and opportunities. The structure, however, remains similar — 12 standards and 4 reporting areas.
For non‑EU companies operating in Europe, this is a crucial announcement. Most of them fell out of the scope. But those that remain should start monitoring the development of N‑ESRS now.
